基于动态能力的企业集团资源整合研究

【摘要】 探讨竞争优势的研究一直是企业管理尤其是企业战略管理的核心课题。其中,以基于资源和能力的理论揭示企业经营战略的奥妙是当今世界的最新潮流,成为企业战略管理理论研究的时代主旋律,企业集团如何更有效的整合企业内外部资源,实现企业战略目标成为企业集团发展的重要议题。本文在回顾和总结众多研究成果的基础上,清晰地阐明了企业集团资源整合过程中动态能力的本质内涵和外在表现。在此基础上,深入剖析了基于动态能力的企业集团整合内容和整合过程,本文将资源整合分为内部资源整合和外部资源整合,并强调企业资源整合必须注重内部整合与外部整合的统一。本文指出,在基于动态能力的整合过程中,指导思想是围绕企业集团核心能力构筑和培育企业的战略性资产,所有的整合活动都要围绕这个核心展开。在整合管理过程中,应识别出企业集团内外部资源之间的互补性。本文在分析动态能力理论的发展及其与资源基础论和核心能力理论等相关理论的关系的基础上,拓展动态能力理论,将抽象、不可测量的动态能力转换为相对具体的、可操作的企业动态机制,创新性地建立了基于动态能力的资源整合研究框架,较系统、全面地揭示出企业动态能力演化的基本机理,为企业管理实践提供了一个全面的操作指南。本文从企业集团内外部资源整合的视角分析企业集团资源整合的机制和路径。在企业集团外部资源整合中,分析了企业集团外部资源整合的动因,提出了基于战略联盟的企业集团外部资源整合机理,对基于战略联盟的企业集团外部资源整合模式进行了进化博弈分析,对基于兼并形式的企业集团外部资源整合模式进行和合作博弈分析。本文在对企业集团内部资源共享系统的内涵和共享原则基础上,提出了基于共享机制的企业集团内部资源整合保障机制,提出企业集团内部资源的共享需要企业集团科学的组织结构的支持,需要一个良好的企业集团文化平台,需要一个好的企业内部资源共享信息平台,并且要有一个企业集团内部资源控制与协调体系,以保障企业集团内部资源整合的有效运行。本文还通过对动态能力理论的系统研究,分析了企业集团资源整合中动态能力的形成路径、形成机制,构建了动态能力的评价体系,提出基于动态能力提升的企业集团资源整合三层模式和三步路径。本文针对企业集团在进行资源整合过程中的风险问题,构建了企业集团资源整合风险预警指标体系,它是对企业集团资源整合过程中所面临的风险预警系统活动的评价指标体系,是集团风险预警系统开展识别、诊断、预控等活动的前提。本文还以泰达股份为例,系统分析了泰达股份在企业资源整合中的理念和原则,并分别研讨了内外部资源整合的路径,对泰达股份的内外部资源整合动态能力进行了模糊评价。

【Abstract】 Researches on competitive advantage were always the core issue of enterprise management, especially enterprise strategic management. Among them, the most popular is revealing enterprise strategic management’s mystery based on the theory of resources and capacity. It became an important theme in the era of enterprise’s strategic management theoretical researches. And it is the same to the process of the resource intergration in enterprise cooperation.This dissertation illuminates the essence of the connotation and external performance of dynamic capabilities based on reviewing and summarizing a large number of references. And it analyses in depth integration content and the integration process of enterprise groups based on dynamic capabilities. In this dissertation’s idea, Resources integration is divided into to internal resources integration and external resources integration. It stressed the unity of external integration with internal integration in the process of enterprise resource integration. Also it pointed out that in the integration process based on dynamic capabilities is strategic asset which builds and nurtures enterprise the core competencies of enterprise groups. All of the integration activities must be carried out around it.In the process of integration management, we should know that the internal and external resources of enterprise groups have complementary relationships. Based on the analysis of some related theories, it develops dynamic capabilities theory and converts the abstract, not be measured dynamic capabilities to relative specific, operable dynamic mechanism. It establishes the innovative study framework of resource integration based on dynamic capabilities, and reveal a more systematic and comprehensive basic mechanism of evolution of the dynamic capabilities ability to provides a comprehensive operation guide for the real enterprise management.In the dissertation, the resource intergration is divided into two types: internal and external resource intergration. Integrating mechanism of the external resources in the enterprise group based on alliances is put forward. It carries out the evolutionary game analysis about the integrate model of external resources of business groups based on strategic alliances. And it carries out Cooperative game analysis about the integration model of external resources based on the merger form. It also poses integrated protection mechanism of internal resources based on sharing mechanism on the basis of the connotation of sharing system and sharing the principles of internal resources. It brings forward the sharing of internal resources of enterprise group need the support from the scientific organizational structure of enterprise group, a good culture platform of enterprise group, a good information sharing platform of internal resource of enterprise group and a control and coordination system of internal resource of enterprise group in order to protect the effective functioning of the internal resources integration.Based on the systemic research on the dynamic capability theories, the dissertation analyses the forming route and mechanism of the dynamic capabilities in the resource intergration in enterprise group, establishs the evaluation system of dynamic capability. This dissertation brings forward three-tier model and three-step path of the integration of the internal resources of enterprise groups based on the promotion of dynamic capabilities by the systematic analysis about the theory of dynamic capabilities. Also it establishes Early-warning Index System of intergration risk and the system is the presupposion of carrying out identification, diagnosis and prevention etc.Taking the case of TEDA as example, this dissertation analyses the resource intergraton iedos and principles in the enterprise group. And it discusses the route of internal and external resource intergration, and carries through fuzzy evaluation of the dynamic capability of TEDA in the resource intergration.
