【摘要】 风险资本市场是资本市场培育高新技术产业的一种创新的制度安排，其运行遵循特殊规律。论文应用马克思资本理论、现代经济学中的制度经济学理论和资本市场理论，从理论和实践两个方面对风险资本市场的发育、地位和作用、运行机制、治理结构和制度安排等进行深入分析，并在全面总结国内外风险资本市场发展的经验和教训的基础上，提出了发展我国风险资本市场的目标模式及对策。论文强调：建立风险资本市场体系，并不是一个简单筹集资金的过程，而是建立一种适合资金有效配置的机制和制度安排。论文的结论是：建立一个适合中国国情的高效率的风险资本市场的关键，就是要有一个良好的内外部制度环境和文化氛围。就内部环境而言，就是要有一条通畅的资金来源渠道，一批高素质的人才，一个健康的风险资本中介组织；就外部环境而言，则是指要有一个高效的风险资本退出市场和一个积极扶持风险资本的政府。更多还原

【Abstract】 Running with special regularity, venture capital market is a kind of institutional innovation arranged by capital market for developing high technology industry. The paper uses Marx抯 capital theory, insititutional economics theory and capital market theory of modern economics to analyze on the development, status and function, running mchanism, governance and insititutional arrangement of venture capital market from both theoretic and practical aspects. Besides, this paper also puts forward objective mode and developmental strategies of venture capital market in our country on the basis of the study on internal and external venture capital makets?development. The paper emphasizes that establishing the system of venture capital market is the course of establishing a mechanism and insititutioral arrangement that is suitable for valid capital arrangement rather than a simple course of raising money. Finally, the paper draws a conclusion that the key to establishing a effective venture capital market which is suitable for national conditions of China is a good internal and external structure environment ? and culture atmosphere. As to internal environment, the key is having a unobstructed capital channel, a group of talents and a healthy medium organization of venture capital. As to external environment, the key is having an effective withdraw market of venture capital and a government supporting venture capital positively.更多还原
