母公司对并购子公司管理模式的整合研究——基于企业基因遗传视角
An Integration Study of the Management Model of Merged Subsidiary Company By Parent Company—Based on the Perspective of Enterprise Gene Inheritance
【摘要】 对外并购是企业进行扩张发展的主要途径之一,富有竞争力的企业常常通过并购的方式来快速扩大自己的规模,以实现一体化和规模化发展。在企业并购过程中,母公司需要有较强的管控能力,为此,母公司往往需要将自身的管理模式复制到并购的子公司中去,进行管理模式的整合和同化,以实现集团管理的统一性、高效化。本文从企业基因遗传的视角,通过企业案例研究的方法,来揭示母公司对并购子公司管理模式整合的内在机理,以作为其它公司借鉴之用。
【Abstract】 Merger and acquisition is one of the main ways for enterprises to expand and develop.Competitive enterprises often expand through mergers and acquisitions in order to achieve integration and the scale development.In the process of enterprise merger and acquisition,the parent company needs strong control and management skills.So the parent company usually copies its management model to the merged subsidiary company,in order to realize the integration and assimilation of management model for the unity and efficiency of group management.From the perspective of enterprise gene inheritance,by means of enterprise case study,this paper reveals the internal mechanism of parent company’ s management model integration which can be used as reference for other companies.
