【摘要】 以获得数据为目的的经营者集中正在频繁上演,而且不断发生平台违规收集和共享用户数据、通过拒绝使用设置市场进入壁垒、降低隐私条款、大数据杀熟等事件,数据竞争和垄断的问题引起了反垄断实务和理论的关注。本文通过分析数字市场下的数据驱动型企业的竞争和垄断以及数据驱动型经营者集中审查的新挑战,探讨各种细节,然后建议数据驱动型集中审查时需要有前瞻性防范意识,剖析相关市场界定、必要设施原则的适用、申报门槛标准问题的解决方案,提出要重视消费者福利原则以及善用附加限制性条件来规制,希望为日后的合并审查提供可借鉴的思路。更多还原

【Abstract】 The merger cases for the purpose of obtaining data are frequently occurring. The parties collect and share user data illegally, set barriers for entry by refusing to use, reduce privacy clauses, and set discrimination conditions base on big data. Those issues continuously happened and has raised the attention of antitrust practice and theory. This article intends to analyze the data-competition and data-opoly,the legislative purpose of Anti-Monopoly law in the digital market, analyze the relevant market definition, the application of essential facility doctrine and declaration standard in data-driven mergers,recommend that data-driven merger review requires proactive awareness. This article propose that should focus on consumer welfare and make good use of restrictive conditions in the future data-driven merger control.更多还原
