S公司破产并购重组后的人力资源整合研究

【摘要】 随着越来越多的企业以并购重组的方式来增强企业核心竞争力,企业的管理者们也意识到要重视在企业并购重组情况下的人力资源整合解决方案的研究,并购企业的生存与发展,在很大程度上是由人力资源整合的有效性决定的。本文在分析企业并购重组中人力资源整合的必要性的基础上,对并购重组、人力资源整合、企业文化整合、幸存者综合症等相关理论进行阐述,详细介绍了S公司的基本情况,并购方W公司的情况,并购的方式以及选择并购S公司的原因等这些并购背景,使读者了解人力资源整合发生的环境背景;通过介绍S公司并购后面临的问题,采取的整合方案,以及取得的整合结果,现阶段存在的问题,结合所学的相关人力资源管理、心理学、行为学等相关理论和各种整合方法进行探讨,总结出整合存在问题和原因。接下来重点从公司人力资源整合的准备、实施和评估三个阶段开展整合工作,贯穿以企业文化,组织结构,团队激励为基础,通过整合设计、影响因素与企业的实际情况相结合,设计出一套适用于S公司的有效的破产并购重组企业的人力资源整合方案,消除公司裁员、降低工资待遇,幸存者综合症的不安全感,企业文化不兼容等所带来的人力资源管理问题,使员工与企业发展相配套,让人力资源整合的理念、战略、组织、制度和文化成为企业适应新形式的核心能力,以最低的人力资源整合成本实现企业的最大效益,进一步推动人力资源有效整合,促使S公司尽快走出破产并购阴影,再创辉煌。
【Abstract】 As Merger and acquisition has become an important trend for more and more enterprises,the enterprise managers realize that,under this kind of situation,the study of HR integration solutions should be taken seriously.It will directly influence the survival and development of the enterprises whether they could build an updated,thorough and more effective HR integration system.In this paper,base on the necessity of HR integration,we are told the theory of M & A,corporate culture integration,Survivor Syndrome,etc.The author introduces the basic information of S company and the buyer W company,the ways and the reasons of M & A,as the readers can understand some backgrounds.Due to more introductions of the problems after M&A,the solutions taken,the result they get,and the more issues they are facing right now,the author tries to find out the reasons by using all kinds of integration methods and some theories of HR management,psychology,behavioristics.Furthermore,focusing on the preparation,implement and merger of HR integration,with the three parts of corporate culture,organization structure and team motivation,the author designs the whole effective solutions for S company,considering of the integration designing,the influence factors and the reality situation.These solutions can ease much more pressure of some difficult situations,such as corporate layoff,demotion and pay cuts of employees,or the insecurity with Survivor Syndrome.They will help solve the problems of corporate culture incompatible.With low cost of HR integration for the best benefits,the theories of HR integration,strategy,organization,system and culture of enterprises all become the core competence.When the employees get the rhythm of development of the enterprises,S company will stand up again for the best future.
